Participant acknowledges and agrees that:

This document is part of, incorporated into, and subject to, all of the other terms and conditions of OmniaVX Terms of Use and Membership Agreement; and definitions of terms herein, may be found therein.

Private-Money Acquisition: Non-Promotional & Promotional Portions

Any purchase of, or receipt of, private-money into your account is a two-part acquisition, as follows:

• (a) the first part is acquisition of a non-promotional, non-transferable, and non-expiring, portion consisting of OmniaVX Post Credits and
• (b) the second part is acquisition of an entirely promotional, yet contractually backed, tradable portion consisting of the spendable private-money; this promotional portion does expire.
• (c) the user is free to use either the promotional portion or the non-promotional portion prior to expiration BUT NOT BOTH, as use of the promotional portion also consumes the non-promotional portion, and use of the non-promotional portion also consumes the promotional portion.
• (d) if, for any reason, the user does not use the promotional portion prior to its expiration then, at expiration of the promotional portion, the promotional portion automatically converts to the non-promotional portion.

Any purchase of private-money is a purchase of OmniaVX Post Credits, and comes along with the promotional private-money portion which is fully temporal, and does expire such that expired private-money units are not spendable and are of zero spendable value.

OmniaVX Deal Credits Acquisition: Non-Promotional & Promotional Portions

Any purchase of, or receipt of, OmniaVX Deal Credits into your account is a two-part acquisition, as follows:

• (a) the first part is acquisition of a non-promotional, non-transferable, and non-expiring, portion consisting of OmniaVX Post Credits and
• (b) the second part is acquisition of an entirely promotional portion consisting of OmniaVX Deal Credits; this promotional portion does expire.
• (c) the user is free to use either the promotional portion or the non-promotional portion prior to expiration BUT NOT BOTH, as use of the promotional portion also consumes the non-promotional portion, and use of the non-promotional portion also consumes the promotional portion.
• (d) if, for any reason, the user does not use the promotional portion prior to its expiration then, at expiration of the promotional portion, the promotional portion automatically converts to the non-promotional portion.

Any purchase of OmniaVX Deal Credits is a purchase of OmniaVX Post Credits, and comes along with the promotional OmniaVX Deal Credits portion which is fully temporal, and does expire such that expired OmniaVX Deal Credits are not spendable and are of zero spendable value.

OmniaVX Post Credits

The OmniaVX Post Credits ("Post Credits") are credits that may be used at a future date for advertising on certain portions of Value Exchange Platform and certain other bidding functions. OmniaVX Post Credits are categorized into 5 distinct classes:

• Class A: this is the highest grade and can be used to advertise on any advertising opportunity on Value Exchange Platform, including "class-A" advertising opportunities
• Class B: this is the second-highest grade and, with the exception of "class A" advertising opportunities, can be used to advertise on all other advertising opportunities on Value Exchange Platform
• Class C: can be used to advertise only on "class C", "class D" and "class E" advertising opportunities on Value Exchange Platform
• Class D: this is the second-lowest grade and can be used to advertise only on "class D" and "class E" advertising opportunities on Value Exchange Platform
• Class E: this is the lowest grade and can be used to advertise only on "class E" advertising opportunities on Value Exchange Platform

Post Credits (all classes) never expire; however they are in one of two states, either in the ACTIVE state or the INACTIVE state, where to be used they must be in the ACTIVE state. Post Credits are in the ACTIVE state for a defined period after which they transitions to the INACTIVE state. Only Post Credits in the ACTIVE state can be used for advertising. A limited number of Post Credits may be permitted to transition from the INACTIVE state to the ACTIVE state on a queued daily basis, as per OmniaVX Post Credits Active Supply Policy

Open Source Statistics and Data

Any statistic or data regarding Participant’s use of the ValueCache functions may be made public and published on Value Exchange Platform.

Irrevocable Transactions

Any purchase of OmniaVX Deal Credits is an irrevocable, non-refundable transaction. Any deviation from this policy, which may occur from time to time in the sole discretion of OmniaVX, shall not be construed to mean a change in that policy, and shall not be construed to mean that such deviation from that policy is subject to occur for any other Participant or at any time in the future.
