This document is part of, incorporated into, and subject to, all of the other terms and conditions of OmniaVX Terms of Use and Membership Agreement; and definitions of terms herein, may be found therein.

We highly value the privacy of the information you provide to us. The intent of this Privacy Policy is to disclose data handling practices at Omnia Value Exchange Systems ("OmniaVX") and to inform you on how your personal information is used and protected.

1. Overview This Privacy Policy governs the use of all information collected or submitted on Value Exchange Platform. Except where stated otherwise, this Privacy Policy is not relevant to offline activities. Do not use or access Value Exchange Platform if you do not agree to all terms and conditions of this Privacy Policy. By registering on Value Exchange Platform, you agree to be bound to all terms and conditions of this Privacy Policy. This Privacy Policy describes information Value Exchange Platform obtains from you, as part of the normal operation of our services, and what may happen to that information. By accepting OmniaVX Terms of Use and Membership Agreement, you expressly consent to our use and disclosure of your personal information in accordance with this Privacy Policy. Value Exchange Platform does not support "do not track" requests. To understand if any of the third party services it uses honor the "do not track" requests, please read their privacy policies.

2. Information Collected There are portions of Value Exchange Platform you may visit without providing any information about yourself. However, in order to use certain other portions of Value Exchange Platform, you will need to provide personally identifiable information. To facilitate transactions on Value Exchange Platform and between Participants, we may provide information ("Participant Information") such as your name, address, phone number, ValueCache ID, email address, web address, and/or other such contact information. Our strict policy is to never divulge your taxpayer identification number, except as required by law or to our agents or authorized third parties we contract with to provide all or part of the Services. If you provide us with bank account or credit card payment information this information is regarded as completely private and our strict policy is that such information will neither be shared with any other company nor be shared with any other Participant, other than that it may be disclosed to credit card processors, banks and other parties we contract with to process payments from you.

User Accounts
To use our services and/or use Value Exchange Platform, you may need to register and create an account with us. You will need to choose a username and password to create the account. You may also be asked to provide personally identifiable information such as, for example, address, telephone number, e-mail address, etc. Our policy is to take reasonable steps to protect any non-public personally identifiable information you submit to OmniaVX. We do strongly advise you to keep your password confidential and to not share it with others. You acknowledge and agree that your Participant Information will be publicly available on Value Exchange Platform.

Newsletters
OmniaVX, or third parties we contract with, may use your Participant Information to provide you with newsletters. Our policy is that you shall always be free to unsubscribe from any such newsletter by following opt-out instructions contained therein.

Operational Announcements
OmniaVX may also use your Participant Information to provide you with significant announcements about Value Exchange Platform or services that you are registered to use, about Value Exchange Platform updates, about any interaction and/or transaction you may have had and/or performed on Value Exchange Platform, or about other significant developments that may affect your use of Value Exchange Platform. You cannot opt-out of this kind of email.

Communication with Other Participants
Value Exchange Platform may allow you to contribute to one or more online forums. Possibly, in some cases nothing may you to disclose your identity to others. If you choose to disclose your identity to third parties using any Value Exchange Platform function or service, you do so at your own risk. OmniaVX is not responsible for the privacy or security of any information that you may choose to disclose to other Participants using any functionality related to Value Exchange Platform. Any information you disclose to a Participant other than OmniaVX, will be considered to be your "Public Content" and Participant acknowledges and agrees that Participant must have a right to disclose and transfer Public Content and must not violate any other person’s privacy or intellectual property rights.

Website Links. Value Exchange Platform may contain links to other external websites. This Privacy Policy applies only to information collected on Value Exchange Platform. OmniaVX is not responsible for the privacy practices of such other sites. OmniaVX encourages users to be aware when they leave Value Exchange Platform and to read the privacy statements of websites that collect personally identifiable information.

Feedback to OmniaVX. OmniaVX has a feedback functionality on Value Exchange Platform that allows you to submit comments, ideas, or bugs found. OmniaVX may collect your name or username and email address in order to follow up with you or thank you for your feedback.

Communications Archival. Whenever you contact OmniaVX or an associated entity, a record of that communication may be maintained. This policy is relevant to any method of communication including offline modes of communication. The records maintained may also include transactions you have entered into with other Participants and may include comments from Participants that have transacted with you. This information may be used to assist in resolving disputes Participant may have with us or with another Participant or authorized party. We may also ask request your feedback and opinions relating to services we offer or plan to offer, in order to assess or analyze our performance and opportunities.

Browser-Collected Personal Information. We may receive and store certain types of information whenever you interact with Value Exchange Platform or Services. We may automatically receive and record information on server logs from your browser including your IP address, cookie information and the page you requested. Generally, Value Exchange Platform automatically collects usage data (for example, this may be data similar to the what is collected via systems such as Google Analytics). We only use this data in aggregate form, that is, as a statistical measure, and not in a manner that would identify you personally. This type of aggregate data enables us to determine how, and how often, Participants use parts of Value Exchange Platform or Services so that we can make Value Exchange Platform attractive to as many Participants as possible and continuously improve Value Exchange Platform and Services.

As part of this use of information, we may provide information to third parties about how our Participants, use Value Exchange Platform so that they may contact you to solicit your business and to trade and/or buy from your business. We may share this data so that third parties we engage also understand how often people use their services and our Site, so that they, too, may provide you with an optimal online experience.

Transactions Archival. We may maintain records of every private-money transaction into or out of your OmniaVX account, . We may also maintain records of each fee charged to you and each payment made by you to OmniaVX, whether it is in private-money, US currency, or other currency.

Business Promotion. For any Participant: we may take actions, that promote your businesses, such as providing your contact information to other Participants so that they may contact you to solicit your business and to trade and/or buy from your business. We may prospect and/or solicit other Participants on your behalf and will inform them how they may contact you.

3. Use of Information Information obtained about you and your use of Value Exchange Platform is used to operate Value Exchange Platform, to facilitate the transactions available through it that you request, to inform you of other services or offers in which you might be interested, and to improve and enhance Value Exchange Platform and Services. Your personal information and other information we obtain from your current and past activities on Value Exchange Platform may be used to:

customize your experience; detect and protect us against error, fraud and other criminal activity; investigate any operational issue; help settle disputes; help maintain integrity of Value Exchange Platform transactions; assist in collection of fees; measure interest in our products and Services; inform you about online and offline offers, products, services, and updates; enforce OmniaVX Terms of Use and Membership Agreement; and as otherwise described to you at the time of collection.

At times, we may look across multiple users to identify problems or resolve disputes, and in particular we may examine your personal information to identify users using multiple User IDs or aliases. We may compare and review your personal information for errors, omissions and for accuracy.

If you transact on Value Exchange Platform and provide your financial information for the payment of OmniaVX fees, we use your address and billing information to bill you and provide associated support. It is our policy to not share information concerning your credit card numbers and expiration dates and bank account names and account numbers with outside parties except credit card process companies, banks and third parties we contract with to process payments from you.

You agree that we may use personal information about you to improve our marketing and promotional efforts, to analyze usage of Value Exchange Platform, improve our content and product offerings, and customize Value Exchange Platform’s content, layout, and services. These uses improve Value Exchange Platform and better tailor it to meet your needs, so as to provide you with a smooth, efficient, safe and customized experience while using Value Exchange Platform.

4. Information Sharing and Disclosure We may share your Participant Information to others under the following circumstances: (a) you gave your consent to disclose; (b) you were informed of the disclosure; (c) we believe disclose is necessary or to comply with any legal action or regulatory requirement, including, without limitation, in connection with a search warrant or demand for documents; (d) we believe disclosure is necessary to identify, contact, or bring legal action against, someone who may cause or be causing harm to, or interference with, our rights or property, other Value Exchange Platform users, or anyone else; or (e) we utilize third parties to provide specific goods or services in connection with our Services or operation of Value Exchange Platform. OmniaVX will share any contact information that we believe is necessary for such third parties to provide these goods or services. You acknowledge and agree that any rights or obligations we have under this Privacy Policy may be assigned third parties we engage. It is our policy that such third parties shall be prohibited from using your personally identifiable information except for the purpose related to these goods or services.

Participant expressly allows us to use IP addresses in cooperation with Participant’s internet service provider ("ISP") to assit in identifying users if we deem it necessary to enforce compliance with this Privacy Policy or to protect Value exchange Platform, our customers or others. Participant consents to the disclosure to, and use by, a subsequent owner or operator of Value Exchange Platform, of any and all information about you contained in any Value Exchange Platform database, if we assign any right and obligation in connection with Value Exchange Platform to a subsequent owner or operator. In any such case, your personal information will be governed by the privacy policy of Value Exchange Platform’s subsequent owner or operator. In addition to disclosures permitted under this Privacy Policy, from time to time, OmniaVX may share with third parties aggregate, non-personally identifiable user information to show general demographic and preference information among users of Value Exchange Platform.

In support of our to attempts to (1) enhance trade opportunities for Participants, and/or (2) enhance business profit and growth opportunities for OmniaVX. We may: ocassionally participate in reciprocal relationships with other trade exchanges, barter groups, "alternative money" groups, and similar organizations ocassionally participate in reciprocal relationships with other companies that offer products or services we believe would complement those offered by OmniaVX. In connection with such reciprocal relationships and alliances, we may furnish your public contact information to others. It is our policy to not furnish any confidential information to such alliances without your consent. Participants may be given the option to opt out and elect not to allow information to be shared with such external strategic alliances by sending us written instructions to our mailing address; and please allow 4 - 6 weeks for such updates to your contact preferences to take effect.

Judicial & Law Enforcement Cooperation: It is our policy to cooperate with any investigation of any jurisdiction’s police authorities in their investigation of the utilization of Value Exchange Platform or our services for civil non-compliance or criminal activities. It is our policy to comply with any lawful judiclal request, subpoena or court order requiring the turnover of personally identifiable information when we believe is necessary to protect OmniaVX from liability.

5. Data Security It is our policy to have procedures to safeguard and secure the information we collect online or information you provide directly to us, so as to prevent unauthorized access to, maintain data accuracy of, and ensure the correct use of said information. Personal and/or sensitive information associated your OmniaVX account is protected by a password for your privacy and security. Although we may take precautions against possible security breaches of Value Exchange Platform, no website or internet transmission or connection is completely secure. Consequently, we cannot guarantee that unauthorized access, hacking, data loss, or other breaches will never occur; and your use of Value Exchange Platform is at your own risk. We urge you to keep your sensitive and non-public information safe by (a) memorizing your password or keeping it in a safe place, separate from your account information, (b) logging out of your User Account, and (iii) closing your internet browser. Unless otherwise specified herein or on Value Exchange Platform, credit card numbers, bank account numbers, and other payment information, are used only for payment processing and are not retained for marketing or any other purposes. OmniaVX uses good faith efforts to ensure secure transmission of payment information to Value Exchange Platform.

6. Online Privacy of Minors Minors (individuals under the age of 18) are not eligible to use Value Exchange Platform unsupervised. We request that minors not submit their personal information to us. A minor may only use Value Exchange Platform in conjunction with and under the supervision of said minor’s parents or guardians.

Although Value Exchange Platform is not directed towards minors, pur policy is to comply with applicable laws and regulations regarding children, including without limitation, the United States’ Children's Online Privacy Protection Act. Therefore parents are hereby put on notice that OmniaVX does not provide a mechanism to obtain parental consent. Our policy is to not collect or maintain any personally identifiable information from children under the age of 13. If you are a parent or guardian who has discovered that your minor has submitted his or her personal information without your consent, our policy is to make reasonable efforts to remove the information from our system, at your request. To request the removal of your minor’s information, please send an email to privacy@omniavx.com and be sure to include in your message the same username and password that your child submitted.

7. Processing Data in the US By providing any personal information to Value Exchange Platform, all users, including, without limitation, users in North America or elsewhere, fully understand and unambiguously consent to this Privacy Policy and to the collection, storage, and processing of such information in the United States.

8. Accessing or Correcting Your Information We may allow you to access your personal information for the purpose of viewing, and in certain cases, updating that information. For cases where you are not allowed to make corrections or updates yourself, you can request correction of factual errors in your personally identifiable information by sending us a request along with credible proof of error. To protect your data integrity and your exclusive access privileges to your information, we may take steps we believe are prudent to assist in verifying your identity before allowing any update to your information.

10. Changes to Our Privacy Policy This Privacy Policy may change as our business changes, and use of any information gathered is subject to the Privacy Policy in currently in effect.

Our policy is to post the updated version of the Privacy Policy on Value Exchange Platform, when we make changes to the Privacy Policy. We want you to be able to remain aware of information OmniaVX may collect, how it may be used, and under what circumstances, if any, it may be disclosed.
