This document is part of, incorporated into, and subject to, all of the other terms and conditions of OmniaVX Terms of Use and Membership Agreement; and definitions of terms herein, may be found therein.

Omnia Value Exchange Systems ("OmniaVX") is not a guarantor of any private-money ("PayCredit") asset. OmniaVX does not guarantee, warrant, or make any representation regarding any of the following:

(a) the quality, quantity, value, condition, legality, merchantability, fitness for a particular use or purpose, timeliness or accuracy, or any other characteristics of any PayCredit asset placed into or purchased through or otherwise advertised on or through the marketplace by any Participant, OmniaVX, or third party;

(b) the ability of any member or third party to, during specific time period, trade, spend, or accept PayCredit assets;

(c) the ability of any Participant or third party to acquire or issue PayCredit assets, the availability of PayCredit assets within the marketplace, or that the member will be satisfied with the selection of PayCredit assets or products or services offered through the marketplace at any given time;

(d) the volume of business that any Participant will derive from use of, or acceptance of, PayCredit assets;

OmniaVX expressly disclaims any and all warranties that access to, or use of, the service will be uninterrupted or error-free or that defects in the service will be corrected.

Omnia Value Exchange Systems ("OmniaVX") is not a guarantor of any transaction conducted on Value Exchange Platform. OmniaVX makes no representation or warranty, either express or implied, and disclaims all liability, as to the fitness, quality, delivery date, merchantability, price, or any term of any transaction.

OmniaVX does not make any express or implied warranties, endorsements or representations whatsoever as to the operation of Value Exchange Platform, the availability of Value Exchange Platform, or any information, or any content, or any materials, or any offers, or any services, or any products accessible on or through Value Exchange Platform. This disclaimer shall include, but not be limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement.
